    Biography

    Cara Bilotta focuses her practice on all aspects of corporate and transactional law, including mergers and acquisitions, private equity and venture capital transactions, finance transactions, securities law and compliance, and general corporate and contract matters. Ms. Bilotta is a member of the firm’s Business Transactions Group.

    Mergers and Acquisitions

    Ms. Bilotta represents corporate clients and private equity funds in a wide range of corporate transactions, including mergers, acquisitions, leveraged buyouts, joint ventures, and equity and debt financings.

    Ms. Bilotta has assisted The Nielsen Company, a global information and measurement company, in numerous transactions, such as its sale of Claritas. She also recently represented a private equity sponsor in connection with the acquisition of two strategic targets, one of which was a leveraged buyout involving senior and mezzanine debt financing.

    General Corporate Services

    Ms. Bilotta also counsels clients on general corporate matters, including entity formation, corporate governance, and general commercial matters. Her clients are in a wide range of industries, including digital media, retail, manufacturing, and technology and software companies.

    Prior to joining Robinson+Cole, Ms. Bilotta was an associate at White & Case LLP, where her practice focused on mergers and acquisitions. She served as a legal intern to the Honorable Victor Marrero of the United States District Court for the Southern District of New York.

      • Represented Graycliff Partners LP in connection with the sale of Talon Innovations Corporation, a manufacturer of high precision machined parts, to Ichor Holdings, Ltd.

      • Represented Datto, Inc., a leading provider of backup, disaster recovery, and intelligent business continuity solutions, in connection with its acquisition of Open Mesh, Inc., a leader in cloud-managed wireless networks.

      • Represented eTouches, Inc., a global event management software company, in connection with the sale of a majority of its outstanding stock to HGGC, a leading middle market private equity firm.

      • Represented the founder of an industry-leading experiential marketing agency and event technology platform in connection with its sale to Condé Nast.

      • Represented a private equity firm in connection with its acquisition of a provider of concrete masonry, landscape, precast and sitescape products.

      • Represented Talon Innovations Corporation in connection with its acquisition of assets from Lind-Rite Precision Company, a manufacturer of precision machined products.

      • Represented a private equity firm in connection with its acquisition of a provider of engineering, design, assembly and integration services for highly-engineered, ruggedized consoles and protective enclosure systems.

      • Represented an online interaction management platform in connection with its Series C Preferred Stock financing.
