    Biography

    Ed Samorajczyk focuses his practice on corporate and public finance, mergers and acquisitions, insurance, banking, securities, and corporate matters. He represents both publicly traded and closely held companies, and not-for-profit institutions, in general corporate, compliance, and transactional matters.

    Mr. Samorajczyk has extensive experience in corporate and regulatory matters on behalf of managed care organizations and health insurers. He has handled regulatory approval matters before the Connecticut Insurance Department involving insurer mergers and acquisitions, and product approvals, as well as corporate transactions for such clients. He also serves as outside counsel to the Connecticut Life and Health Insurance Guaranty Association.

    Following law school, Mr. Samorajczyk clerked for Justice Arthur H. Healey of the Connecticut Supreme Court.  He is a former cochair of the firm's Business Section.

      • Representation of Apple Valley Bank & Trust Company in its sale to New England Bancshares, Inc. The transaction required FDIC and Connecticut banking regulatory approval as well as shareholder approval, a detailed proxy statement, and filings with the FDIC and SEC.
      • Representation of EDAC Technologies Corporation, a manufacturer of jet engine components, tools, fixtures, composite molds, and spindles, in its acquisition of the manufacturing unit assets of MTU Aero Engines North America (AENA), a manufacturer of rotating components for the aerospace industry.
      • Managed Care and Health Insurance

      • Representation of Medicare Advantage Organizations (MAO) in administrative litigation, arbitration, and regulatory matters. Provided legal advice to MAOs regarding legal issues, such as Medicare marketing guidelines, broker compensation arrangements, risk-based provider contracting, coordination of benefits, and compliance with anti-kickback safe harbors.
      • Other Experiences

      • Representation of a national banking institution in numerous financial transactions, including those in which the bank has provided credit support in conjunction with the issuance of revenue bonds by the Connecticut Health and Educational Facilities Authority (CHEFA) on behalf of qualified borrowers. Robinson & Cole represented the bank regarding its issuance of a $72.2 million direct pay letter of credit on behalf of Hartford HealthCare Corporation and its hospital subsidiaries as credit support for certain revenue bonds issued by CHEFA. The issuance of the bonds and related letter of credit was in conjunction with an overall debt restructuring by the hospital subsidiaries in the approximate amount of $400 million, which was structured through the use of a Master Trust Indenture.
