Frank Eucalitto advises portfolio and operating companies, investment funds, and startups in a wide variety of corporate and transactional matters, with a focus on venture capital financing and mergers and acquisitions. He is a member of the firm’s Business Transactions Group and the Emerging Companies and Venture Capital Team as well as the firm’s Food + Beverage Industry Group.
Emerging Companies and Venture Capital
Frank regularly represents startups and high-growth technology companies through all stages of maturity—from formation to exit. He has extensive experience negotiating for and advising founders, angel investors, family offices and venture funds on priced equity transactions (including Series Seed and Series A, as well as convertible notes and Simple Agreements for Future Equity (SAFEs).
Frank is also actively involved in the innovation ecosystems in Connecticut and New York City. He is a member of Crossroads Venture Group, a professional association dedicated to supporting investment in high-growth technology companies in Connecticut. Frank also is a member of the Emerging Leader’s Section of the Business Council of Fairfield County, and actively participates in industry events, such as those hosted by Food'NBev Connect and the Connecticut Technology Council.
Mergers and Acquisitions
Frank represents portfolio and operating companies, strategic investors, family offices and funds in complex mergers and acquisitions. He advises clients on various transaction structures such as asset purchases, stock purchases and reverse triangular mergers) and works with a team of specialists, including tax, intellectual property, ERISA, employment, real estate and environmental, to negotiate the applicable transaction documents.
Frank serves on the Membership Committee of the Connecticut Association for Corporate Growth, a global community for middle market M&A and business leaders focused on driving growth, and actively participates in industry events, such those hosted by the Exit Planning Exchange.
Frank leverages his experience working closely with businesses and investors as outside general counsel to offer business-conscious, practical legal advice. In particular, he prioritizes understanding the fundamentals of each client’s business and tailors his legal services accordingly to help clients achieve their goals.
Prior to joining Robinson+Cole, Frank practiced in New York City and Connecticut, where he advised companies and investors in general corporate matters, venture capital financing and mergers and acquisitions.
