    Biography

    Stephen Hanson is a partner in the firm's business transactions group. He represents financial sponsors (including private equity, mezzanine debt (including SBICs), venture capital, and hedge funds), their portfolio companies, and other privately-held companies in connection with domestic and cross-border M&A transactions (including leveraged buyouts), joint ventures, equity and debt financings, and general corporate counseling.

    Mr. Hanson has more than 19 years of experience focusing on private equity and private M&A, including with O'Sullivan Graev & Karabell, LLP (and O'Melveny & Myers following their merger). More recently, Mr. Hanson was a partner and the global co-chair of the Private Equity Practice Group at Dorsey & Whitney, LLP, and a partner with DLA Piper.

      • Representation of Graycliff Partners in connection with its acquisition of Harper-Love Adhesives Corporation, a manufacturer of adhesive additives used to bond corrugated boxes.
      • Representation of Baxters Food Group (UK) in connection with its acquisition of Wornick Foods, a supplier of convenience foods and military rations to institutional customers, including restaurant chains, consumer goods companies, and the US government.
      • Representation of Camuto Group in connection with its acquisition of the remaining shares of Bernard Chaus, Inc., a designer of women's career, casual sportswear and dresses.
      • Representation of Palmfund in connection with its acquisition from Reed Elsevier Group of its legal, tax and regulatory publishing businesses in Argentina, Chile and Mexico (Legal Publishing Group). Also represented Palmfund in connection with the subsequent sale of Legal Publishing Group to Thomson Reuters.*

      • Representation of Evonik Corporation in connection with its investment in Biosynthetic Technologies LLC, a developer and manufacturer bio-bases synthetic oils used primarily in the passenger car motor oil and industrial lubricant sectors.
      • Representation of Rutland Plastic Technologies, Inc., in connection with its acquisition of Sociedad Quimica Alemana S.A., a Peru-based manufacturer of print inks. *
      • Representation of HSBC Capital (USA) Inc. in connection with its acquisition of Impresa Aerospace, LLC, a California-based manufacturer of precision crafted sheet metal and machined components for the aerospace industry. *
      • Representation of Hancock Park Associates in its $43 million acquisition of Brown & Coles Stores, an independent regional grocery store chain in Washington, pursuant to a Chapter 11 Plan of Reorganization. *
      • Representation of Graycliff Partners, LP (formerly HSBC Capital (USA) Inc.) in connection with its acquisition of Skandia, Inc., a supplier of woven and nonwoven fabrics and foam-based acoustic insulation solutions for aircraft interiors. *
      • Representation of Talon Innovations Corporation in connection with its acquisition of Vulcan Machine, Inc., a provider of custom machining for OEMs in the aerospace, packaging, and industrial markets.
