Biography
Stephen Hanson is a member of the firm's Business Transactions Group, and he focuses his practice in the areas of private equity, venture capital and emerging companies, and general corporate matters.
Private Equity
Steve routinely represents financial sponsors such as private equity, mezzanine debt (including Small Business Investment Companies), venture capital, and hedge funds; their respective portfolio companies, principals, sponsors, and investors; and other privately-held companies, with a focus on the middle market and lower middle market. He assists clients with domestic and cross-border merger and acquisition transactions, leveraged buyouts, joint ventures, and equity and debt financings.
Venture Capital and Emerging Companies
Steve assists start-up and emerging companies across a range of industries with their business transactions, such as handling financing, structuring investments, and negotiating commercial agreements. He also represents venture capital funds and corporate venture investors in convertible note and equity financings.
General Corporate
Steve counsels business clients of all sizes on general corporate matters, including entity formation, corporate governance, and general commercial matters. He assists a variety of businesses, and he has particular experience advising clients in the retail and consumer goods, digital media, manufacturing, publishing, and food and beverage industries.
Steve has more than 20 years of experience focusing on private equity, private mergers and acquisitions, and venture capital and emerging companies, including with O'Sullivan Graev & Karabell, LLP (and O'Melveny & Myers following their merger). More recently, he was a partner and the global co-chair of the Private Equity Practice Group at Dorsey & Whitney, LLP, and a partner with DLA Piper.
