Intellectual Property Transactions

Robinson+Cole's rich tradition as a first-class commercial law firm, has created a platform on which to develop tremendous experience assessing the intellectual property aspects of corporate transactions, including analysis, transfer and licensing of intellectual property assets for purposes of mergers, acquisitions, joint ventures, financing agreements, and licensing and joint ownership agreements. We also regularly advise on maintenance of confidentiality, intellectual property ownership rights, research and development constructs involving intellectual property and distribution and supply arrangements.

    • Experience
      • Represented a NYSE company in all intellectual property aspects of the sale of its global textile colors business and European industrial colors business to UK public company, including numerous licensing arrangements.
      • Representation of U.S. subsidiary of a Scandinavian steel manufacturer in a technology joint venture with a $1 billion-plus agricultural equipment company.
      • Conducted due diligence, drafted intellectual property assignment instruments, and drafted intellectual property provisions of the asset purchase agreement for an international media company's sale of four major print and online publications in a deal valued at $70 million.
      • Drafted licensing agreements related to the use of valuable trademarks and intellectual property by a food and beverage industry company with over $75 million in annual sales.
      • Representation of Enobia Pharma, which develops therapies to treat serious genetic bone disorders for which there are no approved treatments, in multiple clinical research agreements, including licensing provisions.
      • Representation of Foster/Polymedex Discovery Group, which holds a dominant market share in vascular, visceral, and implantable contract development and manufacturing services, in renegotiation of license agreement with Genzyme.
      • Advised and assisted in negotiating transaction and drafting final agreements for a unique first-ever royalty-free license agreement between two nonprofit drug developers—the TB Alliance and Drugs for Neglected Diseases Initiative (DNDi)—that speeds progress toward markedly improved therapy of multiple neglected diseases. This agreement highlights the value of product development partnership models (PDPs) and how investment in PDPs is producing a robust and diverse pipeline of tools to treat neglected diseases afflicting populations living in abject poverty.
