Business Litigation

Throughout our long history, Robinson+Cole has assisted business interests of all types in resolving their disputes. Today, members of our Business Litigation Group carry on that rich tradition every day in trial courts and before appellate panels around the country.

We are known for trying cases. All of the partners in our group have more than 10 years of experience handling these claims, and our members include Fellows of the American College of Trial Lawyers. This reputation accrues to our clients' benefit. For example, during the pretrial stage, we conduct the discovery needed to prepare for trial rather than slavishly following the conventional wisdom. Our adversaries quickly realize we are ready to try our case immediately. They will factor in this point when evaluating settlement. If a case cannot, or should not, settle, we are primed to go to verdict. Our focus on being prepared, responsive, and able to vindicate your company's rights at trial will serve your business interests at every stage of the process.

Robinson+Cole understands that the demands of litigation can impose a serious drain on financial and managerial resources. Accordingly, we work with our clients to minimize litigation risks, reduce dispute resolution costs, and preserve important business relationships. Our goal is to protect our clients' rights while conserving their valuable time and resources. As part of this goal, and if appropriate, we guide our clients' consideration of alternative dispute resolution, including mediation and arbitration. The substantial cases we handle are as varied as the companies we represent. We endeavor to understand the complexities of your business to best represent your interests at trial, on appeal, or in alternative dispute resolution. As a practical routine, we continually collaborate with the lawyers from related practice groups to provide the most detailed, most efficient, and most client-centric counsel.

Business litigation encompasses claims of contract breach; business torts such as fraud, misrepresentation, conversion, and interference with contract; unfair and deceptive trade practices; RICO violations; securities and antitrust violations; and intellectual property claims. All of these types of claims take on added complexity and risk when asserted in the context of a class action. Our group members have extensive experience handling the difficult and unique challenges presented by class actions. In addition, we regularly partner with clients in appropriate instances to bring loss recovery actions.

    • Experience
      • Intellectual Property

      • Obtained summary judgment for a manufacturer of specialty pressure-sensitive, adhesive-coated films and foams in a patent infringement action based on a covenant not to sue in an asset purchase agreement. Also uncovered a terminal disclaimer covering a related patent that resulted in a six-figure refund of a prior license payment.
      • Representation of Imaginative Research Associates, a cosmetics and pharmaceutical research company, in an action brought to enforce intellectual property, noncompete, and confidentiality restrictions in a stock purchase agreement; defeated a motion for summary judgment and thereafter settled the action on favorable terms.

      • Obtained monetary judgment in favor of Columbus IT Partners US, Inc., a software developer/value-added reseller, after a five-day arbitration hearing in an action brought to enforce a contract concerning development and deployment of an enterprise software system before the American Arbitration Association.
      • Complex Litigation

      • Won complete motion to dismiss in hotly contested Financial Industry Regulatory Authority (FINRA) arbitration, resolving matter for client in less than six months. FINRA panel granted motion to dismiss, agreeing that client was not associated with the securities in question, had no contact with the claimant, and had no supervisory responsibilities with respect to the sale of the securities at issue.

      • Business Litigation

      • Represented privately held trust in securities fraud action against private investment broker and her company. Obtained judgment exceeding $1.3 million after trial, which was successfully defended on appeal to the Second Circuit. After the defendants failed to satisfy the judgment, succeeded in piercing the corporate veil of the company in a five-day jury trial to reach the assets of the broker's husband, a co-owner of the company, and successfully defended that judgment at the Second Circuit.

      • Other Experiences

      • Defended helicopter manufacturer from tort, equitable, and trade practice claims asserted by former Venezuelan sales representative relating to its termination. Based defense on the Foreign Corrupt Practices Act (FCPA). Four-week trial to a jury in state court resulted in verdict favorable to client.
      • Represented subcontractor designing and manufacturing weapons bay door system for F-22 Raptor in connection with contract breach by its subcontractor. Simultaneously obtained dismissal of subcontractor’s federal action, and defended dismissal on appeal, while prosecuting breach of contract and business tort claims in state court in a different jurisdiction. Negotiated advantageous settlement for client, which enabled client to meet its contract obligations to the project.
      • Defended helicopter manufacturer and its parent against contract, tort, and trade practice claims asserted by Argentine sales representative arising from contract termination. Asserted FCPA as defense. A five-week trial to a federal jury resulted in a highly favorable verdict for the manufacturer.
      • Represented plaintiff in action against United States subsidiary of Hong Kong Shanghai Banking Corp. for breach of agreement to finance equipment leases negotiated by plaintiff. After two weeks of trial, defendants increased their settlement offer by a factor of 14, and the matter settled.
      • Represented company after its exclusive sales representative went to work for its main competitor. Suit brought based on, inter alia, a covenant not to compete, the misappropriation of trade secrets and confidential information, and interference with contractual and advantageous relations. Obtained a preliminary injunction and settled the case.
      • Retained by large, publicly-held health insurer to prosecute a fraud recovery action against chiropractors and medical doctors who had engaged in extensive fraudulent billing practices. Obtained significant recovery for the client in settling the matter while simultaneously settling two CUTPA suits for no payment.
      • Represented commercial client against application to vacate arbitration award based on public policy grounds. Successfully argued that no public policy was violated and that, without transcript of underlying arbitration, records were inadequate for review on public policy grounds.
      • Successfully obtained summary judgment on claims of tortious interference with contract and civil conspiracy arising from our client's successful opposition before municipal zoning authorities to construction of 32 condominiums on abutting property in Sharon, Connecticut.
      • Representation of a financing division of a Fortune 100 corporate client in a commercial financing and contract case. U.S. District Judge Lewis A. Kaplan in the Southern District of New York granted a judgment of dismissal for all claims to our client following a bench trial. At issue was a series of complex financing agreements centered on the plaintiff's acquisition of, and repayment of financing for, digital equipment and related products. The court rejected all of the plaintiff's claims for $2 million in damages, based on trial evidence, legal issues, and defenses asserted by our client. Dismissal was reported in the August 27, 2010, New York Law Journal.
      • Representation of a land developer in an arbitration hearing in Denver, Colorado, for fees due under a development services agreement for services rendered to a company that aborted building a new corporate headquarters on the western slope of the Colorado Rockies. Company counterclaimed, alleging breach of contract and negligent misrepresentation against our client. After a five-day hearing, our client was awarded $500,000 in contract damages and $160,000 in interest. The company's counterclaims were rejected. As the prevailing party, our client was entitled to recover its attorney's fees and costs.
      • Defended a major provider of cable television in a jury trial. Plaintiffs alleged unfair trade practices, trespass, and various invasion of privacy torts, claiming they did not give permission for their home to be filmed or included in a television commercial our client created and aired for a home renovation contractor. After the client filmed in the plaintiffs' home and broadcast the commercial many times, the homeowners sued. At trial, the court granted a directed verdict on the unfair trade practices claim. The jury returned a defense verdict on each count except one of the invasion of privacy claims, for which nominal damages of $1 were awarded to the plaintiffs. Our client's codefendants, meanwhile, were ordered by the same jury to pay $100,000 in damages.
      • Defending publicly traded Internet company against action brought in Connecticut federal court on behalf of putative national class action alleging claims under federal and state consumer protection statutes.
      • Represented a major national finance company in claims against a borrower who defaulted on over $3 million in commercial loans. Teamed with commercial finance attorneys to achieve a successful restructuring of the debt and avoid further litigation.
      • Represented a Massachusetts-based manufacturer in a dispute against a customer who breached its payment obligations after receiving and using the products. Obtained a prejudgment attachment and subsequent judgment against the customer.
      • Negotiated a successful nonmonetary resolution to claims against a Fortune 100 company that alleged raiding and hiring employees subject to noncompetition agreements.
      • Served on team representing a Connecticut town in an arbitration case involving billing procedures for sewage treatment for industrial discharge by a large paper factory. Case involved approximately $1 million in disputed sums claimed past due, plus declarations interpreting the parties’ contract going forward.
      • Won summary judgment on behalf of an ecclesiastical diocese and one of its parishes in a case arising from claims of sexual abuse by a priest in the 1970's, by demonstrating, through affidavits of individuals who had known the priest up to the time of the alleged abuse, that the parish and the diocese had no basis on which to suspect that the priest would harm any member of the church and, therefore, had not acted negligently or violated any fiduciary duty.
      • Won large arbitration award for Connecticut based company that provides job related services to recipients of public assistance. The company entered into a joint venture with a Washington D.C. company as part of a government services contract. The dispute involved complex issues of contract integration and parol evidence. In addition to the successful verdict on the Connecticut Company's breach of contract claims, the substantial counterclaim asserted by the Washington D.C. company was successfully defended against and denied in full.
      • Defended lender liability action in which the plaintiff sought to enjoin the foreclosure of its property by our client, the plaintiff's lender. Successfully defeated motion for a preliminary injunction. Thereafter, the plaintiff filed for bankruptcy. After a five-day trial in bankruptcy court, successfully obtained relief from the stay. Thereafter, our client foreclosed on the subject property.
      • Counseled distributor of toaster ovens with an allegedly defective power cord on reporting obligations and implementation of a voluntary corrective action program.
      • Reviewed state contractor's compliance with solicitation terms and successfully negotiated protection of the contractor's trade secrets and confidential business information from Freedom of Information Act disclosure.

      • Saved a health care industry client from losing a multimillion-dollar state contract by successfully challenging the request for proposal process by the Connecticut Department of Social Services.
