    Biography

    Adam Anderson handles mergers and acquisitions, venture capital, corporate, and financing matters. He has over a decade of experience guiding clients, from family-owned businesses to large, multi-national corporations, through all types of corporate transactions. Adam is a member of the firm’s Business Transactions Group.

    Mergers and Acquisitions

    Adam routinely counsels public and private companies in connection with mergers, acquisitions, and dispositions. He represents clients of all sizes, from startups to multinational corporations, across a range of industries, including media, technology, manufacturing, and construction. Adam has assisted The Nielsen Company (US), LLC, a global information and measurement company, with numerous transactions in recent years, including with its recent acquisition of Visual IQ, Inc. and its sale of its Expositions business to Onex Capital Advisors. He represented Datto, Inc., a leading provider of backup, disaster recovery, and intelligent business continuity solutions, in connection with its acquisition of Backupify, Inc., a provider of cloud-to-cloud backup software, and its acquisition of Open Mesh, Inc., a leader in cloud-managed wireless networks.

    Venture Capital and Emerging Markets

    A significant portion of Adam’s practice is devoted to assisting venture capital and emerging companies with debt and equity financing transactions. He counsels start-ups, emerging companies, and entrepreneurs on investments, preferred stock financing, and merger and acquisition transactions. 

    General Corporate

    Adam's practice also involves providing advice on general corporate and business matters. He regularly counsels clients regarding strategy, corporate and tax restructurings, joint ventures, commercial and employment agreements, corporate governance, compensation, and commercial contracts.

    Prior to joining Robinson+Cole, Adam was associated with the law firm of Debevoise & Plimpton LLP, where his practice focused on mergers and acquisitions. He served as a legal intern to the Honorable Lawrence McKenna of the United States District Court, Southern District of New York.

    Adam was ranked in Chambers USA: America's Leading Lawyers for Business in the state of Connecticut in the area of Corporate/Mergers & Acquisitions for 2016 and 2017. He was selected as a Rising Star in the Connecticut Super Lawyers list from 2012 to 2015.

      • Represented Connecticut-based Simione Healthcare Consultants and Pennsylvania-based BlackTree Healthcare Consulting in the execution of a strategic and equal combination to form SimiTree Healthcare Consulting and the subsequent investment by Sheridan Capital Partners. 

      • Represented FactSet Research Systems Inc. (NYSE, NSADAQ: FDS), a leading provider of integrated global financial information and analytical applications for the investment community, in connection with its acquisition of TruValue Labs, Inc.

      • Represented Sensor Switch, Inc., a lighting controls company, and its sole shareholder in connection with the sale of all of the stock of Sensor Switch to Acuity Brands, Inc., a NYSE-listed company, and its subsidiary, Acuity Brands Lighting, Inc., for approximately $205 million in cash and stock.
      • Represented Ensign-Bickford Industries, Inc., in its acquisition of DanChem Technologies, Inc., a custom manufacturer of fine and specialty chemical products. The seller, American Capital, Ltd., is a publicly traded private equity firm and global asset manager.
      • Represented Made Event, LLC and EZ Festivals, LLC, the owners and promoters of the Electric Zoo Festival and other live music events, in connection with the sale of 100% of their equity interests to SFX Entertainment, Inc., in a transaction valued at $45 million.

      • On behalf of The Nielsen Company, handled the $950 million sale of its Expositions business to Onex Capital Advisors. 

      • Represented The Nielsen Company, a global information and measurement company, in connection with its acquisition of Affinnova, Inc., a market analysis consulting firm.

      • Represented Mystic Logistics, Inc., a company engaged in standard mail consolidation for large-volume mailers throughout the U.S., in connection with its sale to the investment firm Main Street Capital Corporation.

      • Represented Charitybuzz Inc., a New York City-based Internet company that raises funds for nonprofit organizations through online auctions of worldwide celebrities and brands, in a complex F reorganization and sale of equity to a well-known, self-made billionaire entrepreneur.

      • Represented The Nielsen Company, a global information and measurement company, in connection with its acquisition of Visual IQ, Inc. 

      • Represented Argan, Inc., a publicly traded holding company focusing on companies that provide products and services to growth industries, in the acquisition of Atlantic Projects Company Limited.

      • Handled equity financing for a leading provider of backup, disaster recovery, and business continuity solutions.

      • Represented The Nielsen Company, a global information and measurement company, in connection with the $95 million sale of Claritas to The Carlyle Group. 

      • Represented The Nielsen Company, a global information and measurement company, in connection with its acquisition of eXelate, Inc. 

      • Represented Datto, Inc., a leading provider of backup, disaster recovery, and intelligent business continuity solutions, in connection with its acquisition of Backupify, Inc., the leading provider of
        cloud-to-cloud backup software. 

      • Represented Datto, Inc., a leading provider of backup, disaster recovery, and intelligent business continuity solutions, in connection with its acquisition of Open Mesh, Inc., a leader in cloud-managed wireless networks.

      • Represented a manufacturer of mushroom- and soy-based meat alternative products in the sale of its veggie burger business.
      • Transactional and Development

      • Representation of a construction materials company concerning the sale of its asphalt paving and construction contracting business in Michigan and Indiana; representation of aggregate company in addressing environmental conditions and transactions in New York and Louisiana.
