Biography
Endicott (Kit) Peabody IV is a member of the firm’s Business Transactions Group. Kit has more than 16 years’ experience advising clients on transactional and general corporate matters. This includes significant work representing public and private companies across industries, private equity firms, commercial banks, other major lending institutions, and real estate developers in structuring, documenting and negotiating, complex M&A transactions; senior and junior lending transactions (secured, unsecured and multi-tranche financing); syndicated financing transactions; and problem and distressed loan restructurings, loan workouts and bankruptcy and insolvency proceedings.
Corporate Finance Transactions
Kit has worked diligently to develop his commercial and corporate finance practice, representing clients in all aspects of secured and unsecured bank, mezzanine and other senior and subordinated lending. He has experience representing borrowers, traditional banks, funds, and other lenders in multi-lender senior secured credit facilities involving revolving and mortgage term loans, as well as asset-based lending.
Mergers and Acquisitions Transactions
Kit has extensive experience assisting companies with corporate transactions, including acquisitions and dispositions and other strategic large-scale mergers and acquisitions. He is involved in drafting and negotiating the acquisition and financing components of various merger and acquisition transactions. Kit also has experience counseling sponsors, working closely with them in connection with investment purchase agreements.
General Corporate Matters
Kit’s transactional practice includes providing advice on general corporate and business matters, including choice of entity, corporate governance, restructuring, contract negotiation, and licensing matters. He also works closely with business clients in matters including purchase agreements, charter documents, stockholder agreements, and operating agreements.
