    Biography

    Samuel Mullin is a member of the Business Transactions Group. He represents private equity funds and their sponsors, managers, and portfolio companies, as well as closely held businesses in various industries. He has represented these clients in negotiating, documenting, and closing acquisitions, sales, financings, recapitalizations, joint ventures, private placements, and limited offerings. 

    Sam also acts as general counsel to privately held and investment fund-backed companies and has substantial experience in a broad range of general commercial matters, including licensing and distribution of technologies and technology-oriented products, distribution and marketing agreements, and employment matters.

        Mergers and Acquisitions

      • Represented the stockholders of a closely-held manufacturer of linear motion control products in the sale of all outstanding common stock and warrants to the portfolio company of a private equity firm.

      • Representation of companies formed by a private equity fund in the acquisition of substantially all of the assets of a Canadian corporation and its U.S. affiliate, manufacturers of architectural sealants and expansion joints for the commercial construction industry.

      • Represented a NYSE- and NASDAQ-listed company providing integrated financial information and analytical applications to the global investment community concerning its acquisition of a market research firm focused on advisor-sold investment and insurance products. Robinson & Cole advised the client on the tax risks and benefits of various transaction structures, designed and analyzed the tax and general corporate aspects of the pre-sale restructuring, and assisted in negotiating corresponding provisions in the purchase agreement relating to indemnities and purchase price adjustments. Robinson & Cole’s benefits group provided analysis on various 409A and 280G issues and developed various corrective actions, and advised on the design of the incentives and agreements for key employees.
